GENERAL TERMS AND CONDITIONS OF USE AGREEMENT

These Terms and Conditions (“Terms”) govern your access to and use of the Site and our services. By accessing, browsing, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy and Shipping, Returns & Customer Policies (collectively, the “Agreements”). If you do not agree, do not use the Site.

1) ACH / e-Check Authorization (If Selected at Checkout)

By choosing ACH/e-Check at checkout, you authorize VeraCurion Biologics or one of it's subsidiaries (Bastidas Corporation or Global Biosolutions Group) to initiate a one-time electronic debit from your designated bank account for the total order amount on the date of your order. You affirm that your transaction complies with applicable law. Payments authorized after 11:00 PM Eastern Time (ET) may be applied the next business day. Once you click “Place Order” and the payment is authorized, no changes or corrections can be made. We recommend printing or saving a copy of your payment authorization for your records.

2) Use of the Site

Unless expressly permitted by us in writing, you may not modify, distribute, transmit, reproduce, publish, license, create derivative works from, transfer, or sell any content, products, or services obtained from this Site. You may display, download, or print content for personal, non-commercial use, provided you do not alter the content or remove proprietary notices (copyrights, trademarks, etc.).

3) Information & Medical Disclaimer

Content on the Site is provided for informational and educational purposes only and is not a substitute for professional advice.

Products are strictly for in-vitro laboratory research use only.
Products are not medicines or drugs and have not been evaluated by the U.S. Food and Drug Administration (FDA) to diagnose, treat, cure, mitigate, or prevent any disease.
Not for human or animal use or consumption.

We reserve the right to correct errors, update information, and change prices or availability at any time without notice.

4) Age Requirement

You must be at least 21 years old to use the Site and to purchase our research compounds. By using the Site, you represent and warrant that you meet this requirement.

5) Research-Use-Only & Product Use Restrictions

All products are intended solely for in-vitro laboratory research. They are not for use as food additives, drugs, medical devices, diagnostic tools, cosmetics, or household chemicals, nor for recreational purposes.

You acknowledge products are not sterilized or tested by us for safety/efficacy for any non-research purpose.
You are responsible for ensuring that your purchase, handling, storage, use, and disposal comply with all applicable laws, regulations, and laboratory safety protocols (including industrial hygiene, hazard communication, and recordkeeping).
You warrant you are qualified and/or affiliated with an appropriate research facility and will handle materials accordingly.
You agree not to request advice on reconstitution, dosing, or application beyond research-use parameters; we may refuse such guidance.

6) Ordering; Acceptance; Cancellations

Orders may be placed 24/7 through our secure Site. Order receipt does not constitute acceptance; we may accept or decline any order, limit quantities, and require additional verification prior to fulfillment.

Orders may be canceled only before shipment. Once processed or dispatched, orders cannot be canceled, recalled, or refunded.
You must provide accurate shipping/billing details. We are not responsible for delays or failed deliveries caused by inaccurate or incomplete information.

7) Prices; Taxes; Duties; Promotions

All prices are listed in U.S. Dollars (USD) and may change without notice. Applicable taxes, duties, and import fees are the customer’s responsibility. Promotions, discounts, and quantity pricing (including wholesale) may be offered at our discretion and may be subject to additional terms.

8) Shipping; Title; Risk of Loss

We offer multiple shipping options shown at checkout. Orders paid and processed before 12:00 PM ET typically ship the same business day; later orders ship the next business day, some orders if no longer in stock may take 5-7 business days to ship. Tracking will be emailed upon shipment. Delivery times are estimates only.

Title and risk of loss pass to you upon transfer of the order to the carrier.
We are not liable for carrier or customs delays, holds, seizures, or losses once an order is in transit.
International buyers are responsible for import compliance, duties, and taxes.

9) Intellectual Property

All Site content—text, graphics, visual interfaces, logos, icons, images, audio, video, code, and the overall “look and feel”—is owned or licensed by Elite Miami Peptides and is protected by copyright, trademark, patent, and other intellectual-property laws. No content may be copied, republished, mirrored, uploaded, or distributed without our prior written consent, except as allowed in Section 2.

10) User Content; Conduct

Except for personally identifiable information governed by our Privacy Policy, any comments, feedback, ideas, or submissions you provide become our property and may be used without restriction or compensation.
You may not upload, post, or transmit content that is illegal, harmful, defamatory, infringing, obscene, or otherwise objectionable, or that violates others’ rights or applicable laws.

11) Third-Party Links & Software

Links to third-party sites are provided for convenience only. We do not control or endorse third-party content and are not responsible for their accuracy, legality, products, services, or security. Use of third-party software is subject to the applicable license.

12) Site Availability

While we strive to keep the Site available 24/7/365, we may suspend, limit, or terminate access at any time for any reason. We are not liable for any interruption or loss related to Site downtime or unavailability.

13) Privacy; Emails; Cookies; Logs; Security

We collect and process information per our Privacy Policy to provide a secure, personalized experience.

Orders are transmitted over 256-bit SSL encryption.
We do not sell or rent your personal information to third parties.
We may send operational and promotional emails (you can unsubscribe at any time).
We may use cookies, analytics, and standard log files (e.g., IP, browser type, timestamps, referring pages) to improve performance and security.

15) No Warranties; Research Risk; Compliance

THE SITE, CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE ERROR-FREE, VIRUS-FREE, OR UNINTERRUPTED.
You are solely responsible for ensuring your purchase, handling, storage, use, and disposal meet all legal, regulatory, and safety requirements.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERACURION BIOLOGICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION) ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS—EVEN IF ADVISED OF THE POSSIBILITY.
IN ALL EVENTS, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT(S) AT ISSUE IN THE APPLICABLE TRANSACTION.

17) Indemnity

You agree to defend, indemnify, and hold harmless VeraCurion Biologics and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from:

Your use or misuse of the Site or products;
Violation of these Terms or applicable laws;
Infringement or violation of any third-party right.

18) Compliance with Laws; Due Diligence

You are responsible for understanding and complying with all local, state, federal, and international laws and regulations regarding the purchase, possession, import, use, and disposal of research materials. We may perform due-diligence screening and deny or limit sales to unqualified purchasers.

19) Relationship of Parties

Your relationship with VeraCurion Biologics is that of independent contracting parties. Nothing creates an agency, partnership, joint venture, or employment relationship.

20) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to carrier issues, customs holds, acts of God, labor disputes, failures of suppliers, or interruptions of networks and utilities.

21) Governing Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Exclusive venue lies in the state and federal courts located in Harris County Texas. You consent to personal jurisdiction in those courts.

22) Severability; Headings; Entire Agreement; Changes

If any provision is held invalid or unenforceable, the remainder remains in force. Section headings are for convenience only. These Terms, together with the Agreements referenced herein, constitute the entire agreement regarding the Site and supersede all prior or contemporaneous understandings. We may update these Terms at any time by posting revisions on the Site. Continued use after changes constitutes acceptance.

23) Acceptance of Terms

By clicking “I Agree”, creating an account, or placing an order, you acknowledge that you have read, understand, and agree to these Terms, our Privacy Policy, and our Shipping, Returns & Customer Policies.
